These Terms of Service ("Terms") govern your access to and use of the Tripaay platform ("Service") provided by Tripaay Technologies, operated by DevCommX ("Tripaay", "we", "us", or "our"). The Service is available at https://tripaay.com and https://app.tripaay.com.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Customer" — the business entity (typically a travel agency) that subscribes to the Service via an account or a Statement of Work
- "Authorized User" — an individual permitted by the Customer to access the Service under the Customer's subscription (typically agency staff)
- "Plan" — a specific subscription tier (e.g., Trial, Starter, Growth, Agency) with defined feature limits
- "Customer Data" — any data uploaded, entered, or transmitted to the Service by or on behalf of the Customer, including lead, proposal, booking, invoice, and Traveller information
- "Documentation" — the user guide and other materials published at
tripaay.com/help - "Service" — the Tripaay SaaS application, including the web app, public proposal viewer, and any APIs
2. Account & eligibility
You must:
- Be at least 18 years of age and competent to enter into a contract under Indian law
- Represent a legitimate travel-related business
- Provide accurate registration information and keep it current
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized access at

You are responsible for all activity under your account. Tripaay is not liable for losses arising from compromised credentials due to your failure to safeguard them.
3. Subscription, fees & payment
3.1 Plans
The Service is offered on a subscription basis. Plan tiers, included features, and pricing are listed at tripaay.com/pricing and may be updated from time to time. Material price changes will be notified at least 30 days in advance and will apply only at the next renewal.
3.2 Billing
- Monthly plans auto-renew every calendar month
- Annual plans auto-renew every 12 months at the same plan tier unless cancelled
- All fees are exclusive of GST, which is added at the prevailing rate (currently 18% on SaaS)
- Fees are payable via Razorpay (UPI / cards / NEFT) or direct bank transfer
- Invoices are issued in INR
3.3 Trial
New Customers may use the Trial plan free of charge for 14 days. No credit card is required. Trial Customer Data is treated identically to paid Customer Data.
3.4 Non-payment
If a payment is overdue by more than 15 days:
- We will email a reminder
- After 30 days of non-payment, the Service may be suspended (Customer Data preserved, no access)
- After 60 days of non-payment, the Service may be terminated and Customer Data deleted in line with Section 9
We charge 1.5% / month interest on outstanding balances under Section 5 of the SOW where applicable.
3.5 Taxes
The Customer is responsible for any taxes assessed in jurisdictions outside India where applicable.
4. Use of the Service
4.1 Authorized Users
Each Customer may add Authorized Users up to the Plan's user limit. Each Authorized User must use unique credentials and must be a genuine member of the Customer's organisation. Account sharing is not permitted.
4.2 Acceptable use
You agree to the Acceptable Use Policy (/legal/acceptable-use), incorporated into these Terms by reference. In summary, you may not:
- Use the Service for any illegal, harmful, or fraudulent activity
- Upload personal data of individuals without lawful basis to do so
- Attempt to bypass security, RLS isolation, or rate limits
- Reverse-engineer, decompile, or copy the Service
- Use the Service to compete with Tripaay (build a competing CRM using Tripaay-derived insights)
- Send spam, phishing, or unsolicited marketing through the Service
- Collect or process sensitive personal data of Travellers (financial credentials, health records, biometrics, government IDs) into Tripaay fields
We reserve the right to suspend or terminate access for violations.
4.3 Service availability
We target 99.5% monthly uptime excluding scheduled maintenance. We will give at least 48 hours' notice of planned maintenance affecting service availability.
We do not offer SLA credits at this stage. Sustained outages causing material harm are addressed under the Limitation of Liability section.
5. Customer Data
5.1 Ownership
You own all rights, title, and interest in Customer Data. Tripaay claims no ownership.
5.2 Licence to Tripaay
You grant Tripaay a worldwide, royalty-free, non-exclusive licence to host, copy, transmit, display, and process Customer Data solely for the purpose of providing the Service to you. This licence terminates when you delete the data or your account.
5.3 Customer responsibilities
You represent and warrant that:
- You have all necessary rights and consents to enter Customer Data into the Service
- Customer Data does not violate any third-party privacy or intellectual-property rights
- You comply with applicable data-protection laws (including the DPDP Act 2023) regarding Travellers whose data you process
You are the Data Fiduciary for Traveller data. Tripaay acts as your Data Processor under the Data Processing Agreement (DPA).
5.4 Backups
We perform regular encrypted backups for our own disaster-recovery purposes. These are not a substitute for your own export and backup practices. We strongly recommend periodic exports of Customer Data.
6. Intellectual property
6.1 Tripaay IP
The Service, including its source code, design, branding, templates, and documentation, is the exclusive property of Tripaay or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for the term of your subscription.
6.2 Pre-built templates
Pre-built Yatra templates (Char Dham, Kedarnath Helicopter, etc.) are licensed for your use within the Service only. You may not extract, resell, or redistribute them outside the Service.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free right to use them without obligation to you.
7. Confidentiality
Each party will protect the other's Confidential Information with the same standard of care as it uses for its own (and at minimum reasonable care). "Confidential Information" includes business information, customer lists, pricing, and roadmaps. Confidentiality survives termination for 3 years.
This does not apply to information that is public knowledge, already known to the recipient without confidentiality obligation, or independently developed.
8. Suspension & termination
8.1 Termination by Customer
You may cancel your subscription at any time via the Settings page or by emailing billing@tripaay.com. Cancellation:
- Stops auto-renewal
- For monthly plans, takes effect at the end of the current billing cycle; no refund
- For annual plans, takes effect at the end of the current annual term; partial refunds are governed by the Refund Policy (
/legal/refund)
8.2 Termination by Tripaay
We may suspend or terminate your access with cause if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay (per Section 3.4)
- Engage in fraudulent, abusive, or illegal use
We will give 15 days' written notice for material breach and an opportunity to cure, except for cases of fraud or legal compulsion where suspension may be immediate.
8.3 Effect of termination
On termination:
- Your access to the Service ends
- Customer Data is retained for 30 days during which you may export it via the Service or by request
- After 30 days, Customer Data is permanently deleted, except where retained for legal compliance (e.g., GST records)
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND EXCEPT THOSE EXPRESSLY STATED HEREIN. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPAAY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy of third-party data sources (e.g., GSTIN validation lookups).
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Cap: Tripaay's total aggregate liability arising out of or related to these Terms or the Service is limited to the fees you paid to Tripaay in the 12 months preceding the event giving rise to the claim
- Excluded damages: Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of goodwill, or loss of data, even if advised of the possibility
These limits apply regardless of the form of action (contract, tort, statute) and survive termination.
11. Indemnification
You agree to indemnify and hold harmless Tripaay, its affiliates, and personnel from claims, damages, and expenses (including reasonable legal fees) arising out of:
- Your use of the Service
- Your violation of these Terms or applicable law
- Customer Data you upload (including infringement or privacy claims by Travellers)
- Your willful misconduct or gross negligence
Tripaay will indemnify you for third-party claims that the Service, as provided, infringes a third party's Indian intellectual-property rights, subject to the liability cap.
12. Governing law & dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws principles.
12.1 Informal resolution
Before formal proceedings, the parties agree to attempt good-faith resolution by writing to legal@tripaay.com and discussing for at least 30 days.
12.2 Arbitration
Unresolved disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. Seat and venue: {{jurisdiction_city}} (default: Bengaluru). Language: English.
12.3 Jurisdiction
Subject to the arbitration clause, the courts of {{jurisdiction_city}} have exclusive jurisdiction.
13. Modifications
We may update these Terms from time to time. Material changes will be notified to active Customers by email and announced on the dashboard at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
14. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, DPA, and any applicable SOW, constitute the entire agreement between you and Tripaay
- Severability: If any provision is held unenforceable, the remaining provisions remain in effect
- No waiver: Failure to enforce a right is not a waiver of it
- Assignment: You may not assign these Terms without our written consent. We may assign on notice in connection with a merger or sale
- Force majeure: Neither party is liable for failures caused by events beyond reasonable control (natural disasters, government action, internet outages)
- Notices: Notices to Tripaay should be sent to
